Terms of Service

The agreement between you and SimChao for buying and using travel eSIMs, including eligibility, acceptable use, and the limits of our role as a reseller of operator connectivity.

1. Who we are and what these Terms cover

These Terms of Service (the "Terms") are a binding agreement between you and DaJuJu LLC, a limited liability company organized under the laws of Wyoming, WY, United States ("SimChao", "we", "us", "our"), operating the SimChao brand. They govern your use of:

  • the SimChao iOS application (the "App");
  • the SimChao website at simchao.app (the "Site"); and
  • the travel eSIM data plans and related services we sell through them (together, the "Service").

By creating an account, making a purchase, or otherwise using the Service, you accept these Terms. If you do not accept them, do not use the Service.

The Privacy Policy and Refund Policy are part of these Terms and are incorporated by reference.

2. Definitions

  • "eSIM" — an embedded SIM profile installed on your device that provides mobile data connectivity. An eSIM is long-lived and may hold one or more Plans over time.
  • "Plan" (or "Bundle") — a prepaid, consumable mobile data package attached to an eSIM, with a defined data allowance, validity period, and coverage area.
  • "Top-up" — the purchase of an additional Plan for an eSIM you already installed, without reinstalling the eSIM.
  • "Order" — a single purchase of a Plan or Top-up. The Order is the unit of purchase and refund.
  • "Network Operators" — the third-party mobile network operators and eSIM aggregators whose connectivity we resell.

3. Our role — reseller of connectivity

SimChao is a reseller. We source eSIMs and Plans from third-party eSIM aggregators and the mobile Network Operators behind them, and we sell them to you as a single, unified product. We are not a mobile network operator and we do not own or operate any telecommunications network.

What this means in practice:

  • The mobile connectivity itself is delivered by Network Operators in the destination country. Coverage, speed, and network quality are under their control, not ours.
  • We remain your point of contact: you buy from us, you pay us, and our support handles your issues — you never need to deal with the underlying operator.
  • Where a problem originates with a Network Operator (for example a local outage), we will help diagnose it and pursue it on your behalf, but we cannot guarantee resolution timescales that depend on third parties.

4. Eligibility and your account

  • You must be at least 18 years old and legally able to enter into a contract to use the Service.
  • You must create an account (via Apple, Google, or email sign-in) to make a purchase. You are responsible for keeping your sign-in credentials secure and for all activity under your account.
  • You agree to provide accurate account information and keep it current. Your email address is how we deliver purchase confirmations and eSIM installation details — an incorrect email may prevent delivery of what you bought.
  • One account per person. Accounts are personal to you and may not be sold, transferred, or shared.

5. Device compatibility — your responsibility

eSIMs only work on devices that are eSIM-compatible and carrier-unlocked.

  • Before purchasing, you are responsible for confirming that your device supports eSIM and is not locked to a carrier. The App and Site provide guidance and, where technically possible, in-app checks — but the final responsibility is yours, because carrier locks and regional device variants are outside our visibility.
  • Purchases made for incompatible or carrier-locked devices are still subject to the Refund Policy: if the eSIM was never installed and no data was used, you may request a refund within the refund window.

6. Orders, pricing, and payment

6.1 Prices

  • Prices are shown in the App and on the Site before you confirm a purchase, inclusive of applicable taxes unless expressly stated otherwise at checkout.
  • Prices may change at any time, but changes never affect an Order you have already placed.
  • Obvious pricing errors (for example a price that is clearly a mistake) do not bind us; if we cancel an Order because of a pricing error, you will not be charged, or will be fully refunded.

6.2 How payment works

Payment is processed by Stripe (cards and Apple Pay). We do not store your full card number. Our purchase flow is designed so that you are only charged if provisioning succeeds:

  1. When you confirm an Order, we place an authorization on your payment method for the purchase amount.
  2. We then provision your eSIM or Plan with our supplier.
  3. Only when provisioning succeeds do we capture the payment.
  4. If provisioning fails for any reason, we void the authorization — no charge ever settles, and there is nothing to refund. Your bank may show a pending authorization for a short period until it drops off; this is a bank display artifact, not a charge.

6.3 Order acceptance

An Order is accepted when we successfully provision the eSIM or Plan and capture payment. We may refuse or cancel Orders for suspected fraud, abuse, failure of required identity verification (Section 7), pricing errors, or unavailability of the underlying Plan; in each such case any authorization is voided or any captured amount refunded in full.

7. Identity verification (KYC)

Some destination countries legally require identity registration before mobile service can be activated. Where your Order requires it:

  • Verification is performed through Stripe Identity, a hosted verification service. You submit your identity document and a selfie directly to Stripe — SimChao never receives or stores your identity document or biometric images. We store only the verification outcome, a reference identifier, and its expiry. See the Privacy Policy.
  • Verification is once per user: a successful verification is reused for future Orders until it expires.
  • If verification fails, is abandoned, or you decline it, the Order cannot proceed: the payment authorization is voided and you are not charged.
  • Providing false identity information is a violation of these Terms and may violate the laws of the destination country.

8. Delivery and installation

  • Your eSIM is delivered digitally — there is no physical product. After a successful purchase, the App offers native installation on your device, and we also email you the QR code and manual installation details as a universal fallback (for install on another device, after app deletion, or after a phone switch).
  • Delivery is deemed complete when the installation details (activation code / QR) are made available to you in the App and by email.
  • Keep your activation details private. Anyone with your QR code may be able to install your eSIM. An eSIM can typically be installed only once; if you delete an installed eSIM from your device, it generally cannot be reinstalled, and the associated Plan is not refundable for that reason.
  • You are responsible for following the installation instructions, including installing the eSIM before any "install by" deadline stated on the Plan and configuring the required settings (for example enabling data roaming on the eSIM line, which is required for travel eSIMs to work).

9. Using the Service — coverage, speeds, and fair use

  • Coverage and speeds are indicative. Coverage maps, network names, and expected speeds (e.g. 4G/5G) shown in the App and Site are based on information from Network Operators and are provided in good faith, but actual coverage, speed, and availability vary with location, device, network load, and operator conditions. Mobile connectivity is inherently variable, and we do not guarantee uninterrupted or minimum-speed service.
  • Plans are data-only unless expressly stated otherwise: they do not include voice calls, SMS, or a phone number.
  • Validity and expiry. Each Plan has a stated validity period (which may start at purchase, at installation, or at first use — the Plan description states which). Unused data expires at the end of the validity period and has no residual value and is not refundable.
  • Fair and lawful use. Plans are for ordinary personal use. Prohibited: resale of connectivity, commercial redistribution (including public hotspot operation), machine-to-machine or bulk/automated usage inconsistent with personal travel use, and any use that violates the law of the country where you use the Service or the acceptable-use rules of the underlying Network Operator. Network Operators may throttle, suspend, or terminate service for abusive or unlawful usage, and we may do the same at the account level.
  • Usage measurement. Data consumption is measured by the Network Operator / our suppliers. Their measurements are authoritative for determining remaining allowance. The usage figures shown in the App are provided for convenience and may lag actual consumption.

10. Top-ups

A Top-up attaches a new Plan to an eSIM you already installed. Top-ups are Orders like any other: the same payment model (Section 6), the same refund rules (Refund Policy), and the validity terms stated on the Top-up Plan. Top-ups may be unavailable for an eSIM whose underlying supplier no longer offers compatible Plans; in that case you can purchase a new eSIM instead.

11. Refunds and cancellations

Refunds are governed by the Refund Policy, which is part of these Terms. In summary (the Refund Policy controls if there is any conflict):

  • If provisioning fails, you are never charged — the authorization is voided automatically.
  • You may request a refund of a purchased Plan within 30 days of purchase if the eSIM was never installed and no data was consumed.
  • Once an eSIM is installed or data has been used, the Plan is non-refundable, except where a verified technical failure on our or our suppliers' side prevented the service from working at all, or where a refund is required by law.
  • Nothing in these Terms limits your non-waivable statutory rights, including consumer rights under EU or UK law where they apply to you.

12. SimChao Rewards

Where offered, the SimChao rewards program lets you earn coins (for example for purchases or referrals) and redeem them for discounts.

  • Coins have no cash value, are not property, are non-transferable, and cannot be exchanged for money.
  • Referral rewards require genuine referrals of real, new users. Self-referral, fake accounts, or other gaming of the program is prohibited; we may reverse coins, cancel discounts obtained through abuse, and suspend accounts involved.
  • We may modify, suspend, or terminate the rewards program, or adjust earn and redemption rates, at any time. Where practicable we will give reasonable notice for changes that materially reduce the value of already-earned coins.
  • Coins expire and are forfeited when your account is deleted or terminated.

13. Acceptable use of the App and Site

You agree not to:

  • use the Service for any unlawful purpose, or in violation of any applicable export-control or sanctions rules;
  • probe, scan, or test the vulnerability of our systems, interfere with the Service's operation, or circumvent security or purchase flows;
  • access the Service by automated means (scraping, bots) except through interfaces we intentionally provide;
  • reverse engineer, decompile, or create derivative works of the App, except to the extent this restriction is prohibited by applicable law;
  • impersonate another person, misuse another person's payment method or identity, or provide false information.

14. Termination and account deletion

  • By you. You can stop using the Service at any time and can delete your account in the App (Account → Delete account) or by contacting support. Account deletion triggers erasure of your personal data as described in the Privacy Policy. Important: if you have an active eSIM at deletion time, the installed profile keeps working on your device until its Plan ends, but you permanently lose the ability to manage it — no usage visibility, no top-ups, and no support — and active Plans are not refunded on account deletion. The App warns you about this before you confirm.
  • By us. We may suspend or terminate your account for material breach of these Terms (including fraud, payment abuse such as unfounded chargebacks, rewards abuse, or unlawful use). Where the breach is curable we will ordinarily notify you first. On termination for breach, active Plans may be suspended without refund to the extent permitted by law.
  • We may also discontinue the Service or any Plan offering; if we discontinue service in a way that deprives you of a Plan you paid for and could not use, we will refund the unused portion.

15. Intellectual property

The App, Site, and all SimChao content (branding, design, text, software) are owned by us or our licensors and protected by intellectual-property laws. We grant you a personal, non-exclusive, non-transferable, revocable license to use the App on Apple-branded devices you own or control, solely to use the Service. No other rights are granted. "SimChao" and associated logos are our trademarks; you may not use them without written permission.

16. Third-party services

The Service depends on third-party services with their own terms, including Stripe (payments and identity verification), Apple (App distribution, Apple Pay), Google/Firebase (sign-in, infrastructure), and our eSIM suppliers and Network Operators. We are not responsible for third-party services' independent acts, but this does not reduce our own obligations to you under these Terms regarding the Service you buy from us.

17. Apple App Store terms

These additional terms apply to the App as distributed through the Apple App Store:

  • These Terms are between you and SimChao only, not Apple. Apple has no obligation to furnish maintenance or support for the App.
  • Apple is not responsible for addressing any claims relating to the App (product liability, legal or regulatory compliance, consumer protection, or intellectual-property claims); those are our responsibility as between us and Apple.
  • In case of the App's failure to conform to an applicable warranty, you may notify Apple, and Apple will refund the App's purchase price (the App is free, so no amount is refundable by Apple); to the maximum extent permitted by law Apple has no other warranty obligation for the App.
  • You represent that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government prohibited-party list.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to the App and may enforce them against you.
  • Your use of the App must also comply with the Apple Media Services Terms and Conditions, including the Licensed Application End User License Agreement usage rules.

18. Disclaimers

Except as expressly stated in these Terms and to the fullest extent permitted by applicable law, the Service is provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. In particular, we do not warrant that mobile connectivity will be uninterrupted, error-free, or available at any particular speed or location (see Section 9).

Consumer-law note: some jurisdictions (including the EU and UK) do not allow the exclusion of certain warranties or statutory guarantees. If you are a consumer in such a jurisdiction, you retain all rights that cannot be excluded, and nothing in this Section limits them. Where EU/UK consumer law applies, digital services must conform to the contract, and you have statutory remedies if they do not.

19. Limitation of liability

To the fullest extent permitted by applicable law:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity, arising out of or related to the Service.
  • We are not liable for losses caused by events outside our reasonable control, including Network Operator outages, government actions (including SIM registration rule changes or network shutdowns in a destination), or force majeure events.
  • Our total aggregate liability for all claims arising out of or relating to the Service or these Terms is limited to the greater of (a) the amount you paid us for Orders in the twelve (12) months preceding the event giving rise to the claim, and (b) USD 100.

Exclusions: nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or willful misconduct, or for any other liability that cannot be excluded or limited under applicable law. If you are a consumer in the EU or UK, your statutory rights are unaffected and this Section applies only to the extent permitted by your local mandatory law.

20. Indemnification

You will indemnify and hold us harmless from third-party claims, damages, and reasonable costs (including attorneys' fees) arising from your violation of these Terms, your unlawful use of the Service, or your infringement of a third party's rights — except to the extent the claim results from our own breach, negligence, or misconduct. This Section does not apply to consumers in jurisdictions where such indemnities are unenforceable against consumers.

21. Governing law

  • If you are a consumer in the European Union or United Kingdom: these Terms are governed by the laws of Wyoming, WY, United States, but you additionally benefit from the mandatory consumer-protection provisions of the law of the country where you habitually reside, and you may bring proceedings in the courts of that country.
  • Otherwise: these Terms are governed by the laws of the State of Wyoming, WY, United States, without regard to conflict-of-laws rules, and — subject to Section 22 — the state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction.

22. Dispute resolution; arbitration (U.S. users)

If you are a resident of the United States, you and SimChao agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that (a) either party may bring an individual claim in small claims court, and (b) either party may seek injunctive relief for infringement or misuse of intellectual property.

  • Informal resolution first. Before filing arbitration, you agree to contact us at support@simchao.app and give us 30 days to resolve the dispute informally.
  • Class action waiver. Disputes will be arbitrated only on an individual basis; class arbitrations and class actions are not permitted. If this waiver is found unenforceable as to a particular claim, that claim (and only that claim) must proceed in court.
  • Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@simchao.app with your account email and a clear statement that you opt out of arbitration.

This Section does not apply to consumers in the EU, UK, or other jurisdictions where mandatory law gives you the right to bring claims in your local courts. EU consumers may also use the European Commission's Online Dispute Resolution platform.

23. Changes to these Terms

We may update these Terms from time to time. For material changes we will give you reasonable advance notice (in-app notice and/or email). Changes apply prospectively — never retroactively to Orders already placed. If you do not agree with updated Terms, stop using the Service; continued use after the effective date of the updated Terms constitutes acceptance.

24. General

  • Entire agreement. These Terms (with the Privacy Policy and Refund Policy) are the entire agreement between you and us about the Service.
  • Severability. If a provision is held unenforceable, the remainder stays in effect, and the provision is enforced to the maximum extent permitted.
  • No waiver. Our failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets, with notice to you.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
  • Language. These Terms are drafted in English. Translations, if provided, are for convenience; the English version controls to the extent permitted by law.
  • Survival. Sections that by their nature should survive termination (including 15, 18–22, and 24) survive.
